FOGHOST AFFILIATE AGREEMENT
If YOU accept this Agreement without reading it in its entirety,
YOU are still bound by this Agreement in its entirety.
This FOGHOST Affiliate Program Agreement ("Agreement") is made
by and agreed to between FOGHOST, and you ("You"). FOGHOST's
Affiliate Program ("Program") is an opportunity for a person or
entity operating one or more Web sites ("Affiliate") to earn
financial compensation for sales ("Transactions") originating
from the Affiliate's Web site through a click made by a
"Visitor" ( person that is not the Affiliate or the Affiliate's
agent) on a hyperlink or banner ("Link") to a FOGHOST.com web
site
1) Enrollment in the Program
a) To apply you must first agree to the FOGHOST Affiliate
Service Agreement and submit an application through FOGHOST's
web site. Your application will be evaluated in good faith and
FOGHOST will notify you of your acceptance or rejection at the
email address you provide. Your application may be rejected if
we deem your site unsuitable for the Program for any reason.
b) If your application is accepted, the login and password you
created in the signup process will continue to work in the
FOGHOST Affiliate Tracking System ("Tracking System") which
established an Affiliates "Account". If you fail to fax in the
completed signed agreement, you will be rejected from
participating in the program.
c) If your application is not accepted, You may reapply to the
Program after 15 days.
2) Affiliate Responsibilities.
Affiliate must maintain certain standards of content on their
Web Site(s). Any suspected fraudulent, abusive or illegal
content or activity by an Affiliate on it's Web site, or through
use of the Tracking System, is grounds for immediate termination
of this Agreement or deactivation of "Your Account", without
prior notice. Affiliate's are solely responsible for their Web
Site(s) content. Affiliate may not operate or utilize a Web site
or Link to Web sites that contain or promote the following types
of content:
i) libelous, defamatory, obscene, abusive, violent, bigoted,
hate-oriented, or otherwise threatening;
ii) illegal, cracking or hacking,
iii) sexually explicit or sex-related merchandising,
iv) violate or infringe on intellectual property rights, or that
offer any illegal good or service;
v) promote discrimination based on race, sex, religion,
nationality, disability, or age;
vi) links to Web site(s) that contain prohibited content;
vii) material designed to mislead Visitors
c) Affiliate must post Links supplied by FOGHOST through the
Tracking System on their Web Site(s). The following are
requirements for use of Links:
i) Affiliate may post or remove Links to FOGHOST at anytime
while they are enrolled in the FOGHOST Affiliate Program and in
accordance with this Agreement.
ii) If the Link is not dynamically updated by FOGHOST,
Affiliates agree to update the Links as requested by FOGHOST
within a reasonable timeframe.
iii) Affiliate may not alter the html code containing the Links
in any way but will use them on an "as is" basis as supplied by
FOGHOST.
iv) Affiliate may not not engage in spamming, indiscriminate
advertising or unsolicited commercial e-mail.
v) Affiliate may not cause any Transactions that are not not in
good faith, including, but not limited to, using any device,
program, robot, Iframes, hidden frames, JavaScript popup
windows, redirects or clicking on Links that You place to
FOGHOST.
FOGHOST reserves the right to prohibit Affiliate from receiving
compensation for a Bonus credit attributable to Transactions
violating any condition herein.
3) Sub-Affiliates Affiliates shall not establish or cause to be
established any promotion that provides any rewards, points or
compensation for Transactions, or that allows third parties
("Sub-Affiliates") to place an Advertiser's Links on its Web
site or in its e-mails, unless the Affiliate receives FOGHOST's
prior written permission.
4) Termination from FOGHOST Affiliate Program.
Affiliate's Account has not been logged into and/or there have
been no Qualified traffic credited to Affiliate's Account for
any 120 day period.
5) Chargebacks. FOGHOST may debit Affiliate's Account with an
amount equal to a Bonus credit previously credited if a
transaction is later deemed Non-Qualified. FOGHOST may debit
Affiliate's account at any time for non-bona fide Transactions
in circumstances where Affiliate fails to comply with this
Agreement.
Assignment and Acknowledgement. FOGHOST may assign this
Agreement without the prior express written permission of
Affiliate. Use of the Tracking System is irrefutable
acknowledgement that You have read, understood and agreed to
each and every term and provision of this Agreement. FOGHOST may
establish from time to time rules and regulations regarding use
of the Tracking System as published on the Tracking System and
such rules and regulations shall be incorporated herein.
Disclaimer
FOGHOST WILL NOT BE RESPONSIBLE FOR ANY DAMAGES YOUR BUSINESS
MAY SUFFER. FOGHOST MAKES NO WARRANTIES OF ANY KIND, EXPRESSED
OR IMPLIED FOR SERVICES WE PROVIDE. FOGHOST DISCLAIMS ANY
WARRANTY OR MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
THIS INCLUDES LOSS OF DATA RESULTING FROM DELAYS,
NON-DELIVERIES, WRONG DELIVERY, AND ANY AND ALL SERVICE
INTERRUPTIONS CAUSED BY FOGHOST AND ITS EMPLOYEES. FOGHOST
RESERVES THE RIGHT TO REVISE ITS POLICIES AT ANY TIME.
CUSTOMER SHALL NOT TRANSFER OR ASSIGN THIS AGREEMENT WITHOUT THE
PRIOR WRITTEN CONSENT OF FOGHOST. HOWEVER, FOGHOST MAY ASSIGN
THE CUSTOMER'S CONTRACT, IN PART OR IN WHOLE, AT ANYTIME WITHOUT
CONSENT FROM OR NOTICE TO THE CUSTOMER.
Limitations of Liability
YOU EXPRESSLY UNDERSTAND AND AGREE THAT FOGHOST.COM SHALL NOT BE
LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL,
CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED
TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER
INTANGIBLE LOSSES (EVEN IF FOGHOST.COM HAS BEEN ADVISED OF THE
POSSIBILITY OF SUCH DAMAGES), RESULTING FROM:(1) THE USE OF, OR
THE INABILITY TO USE, THIS WEB SITE; (2) THE USE OF, OR THE
INABILITY TO USE, ITEMS PURCHASED ON THIS WEB SITE; (3) THE COST
OF PROCUREMENT OF SUBSTITUTE SERVICES, ITEMS, OR WEB SITES; (4)
UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR
DATA; (5) THE STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THIS
WEB SITE; OR (6) ANY OTHER MATTER RELATING TO THIS WEB SITE.
Indemnification
You agree to indemnify and hold harmless FOGHOST.COM (TECHMC.COM
LLC), its directors, officers, employees, agents, co-branders,
subsidiaries, parents, and affiliates, from and against any and
all liability, losses, claims, demands, disputes, damages, and
costs of any kind, including, without limitation, reasonable
attorneys' fees and costs of litigation resulting from or in any
way connected with your use of the Web Site; Content you submit,
post, or transmit through the Web Site; your breach of the
Agreement; and your connection to the Web Site.
Independent Investigation:
YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO
ALL ITS TERMS AND CONDITIONS. YOU UNDERSTAND THAT THIS IS NOT A
"RESELLER" PROGRAM, AND THAT ALL PRODUCTS AND SERVICES WILL BE
SOLD DIRECTLY FROM FOGHOST.COM TO OUR CUSTOMERS, WHICH YOU REFER
TO US. YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF
PARTICIPATING IN THE PROGRAM AND ARE NOT RELYING ON ANY
REPRESENTATION, GUARANTEE OR STATEMENT OTHER THAN AS SET FORTH
IN THIS AGREEMENT.
MODIFICATION, SUSPENSION, TERMINATION of the Affiliate Service
Agreement
You agree that FOGHOST.COM may, in its sole discretion, and at
any time, modify, discontinue, or suspend its operation of this
Web Site or the Affiliate program, or any part thereof,
temporarily or permanently, without notice to you, and you agree
that FOGHOST.COM will not be liable for the consequences of
doing so. You also agree that FOGHOST.COM may, in its sole
discretion, and at any time, completely terminate your use of
the Web Site or the Affiliate program, and may remove or delete
any or all of your Content within the Web Site, without prior
notice to you for any reason that FOGHOST.COM, in its sole
discretion, deems appropriate. You further agree that
FOGHOST.COM will not be liable to you or to any third party for
the consequences of any termination of your use of or access to
the Website or the Affiliate Porgram.
